When you need this document
- Forming or organizing a US LLC — most states don't require one but banks, partners and courts expect it
- Multi-member LLCs where ownership %, voting and distributions need to be written down
Drafting tips
- Match ownership % and capital contributions exactly to your formation filings
- Member-managed is typical for small LLCs; manager-managed suits passive investors
- The transfer-restriction clause is what actually prevents unwanted co-owners
⚠️ State LLC statutes differ — this is a general-purpose agreement. States like California, New York and Delaware have specific default rules this agreement modifies.

FAQ
Is an operating agreement legally required?
Only a few states mandate it, but operating without one means state default rules govern — often not what you want.
Single-member LLC needs one?
Strongly recommended — it reinforces the corporate veil separating you from the LLC.
