SERVICES AGREEMENT CLIENT Name: Acme Tech Co., Ltd. Address: 100 Seocho-ro, Seocho-gu, Seoul, Korea Contact: contact@acmetech.kr CONTRACTOR Name: Park Gaeseul Address: 12 Songpa-gil, Songpa-gu, Seoul, Korea Contact: dev@example.com The Client and the Contractor enter into this Services Agreement on the following terms. 1. Scope of Services Backend API development for a mobile app (auth, payment integration, admin console) and delivery of source code 2. Term From September 15, 2026 to December 15, 2026. 3. Fees and Payment The fee is KRW 12,000,000, payable as follows: 50% upfront, balance upon completion. Applicable withholding tax (3.3% business income) shall be deducted at source. 4. Acceptance and Revisions The Client shall inspect deliverables promptly upon delivery. The Contractor's obligation to revise without charge is limited to 2 revision round(s); further revisions require additional fees. 5. Intellectual Property Intellectual property in the deliverables transfers to the Client upon full payment. 6. Termination Either party may terminate with 14 days' written notice; work performed to date shall be settled separately. 7. Governing Law This Agreement is governed by and construed in accordance with the laws of the Republic of Korea. Executed in two counterparts, each party retaining one.
